Please read these Subscription and Sale Terms and Conditions carefully before registering on the Site.

These Subscription and Sale Terms and Conditions apply where You choose to register as a subscriber of the publication The Trust List from newcharities.org (the "Site") or if You choose to download a copy of The Trust List or Top Trusts from the Site shop (Archive). This Site and the related publications The Trust List and Top Trusts are offered to you ("Your"/"You") by Gryphon Research Ltd. Gryphon Research Ltd is registered in England and Wales. 1. Acceptance of Subscription Terms and Conditions

1.1 By sending a subscription form to register or by accepting the publication as a sample, as part of a trial or as an annual subscription You will be deemed to have consented to these Terms and Conditions.

1.2 We may update these terms and conditions from time to time for legal or regulatory reasons which we consider appropriate. We will give you reasonable notice in advance of implementing such changes by making a posting on the Site. Where the changes are significant we may also choose to email you with the new details.

1.3 The changes will apply to your subscription from the date on which we notify you of such changes.

2. Description of Subscription

2.1 For a full description of the services offered by subscribing to The Trust List. Please consult the Services page.

2.2 Subscription payments can be made in UK Sterling, once payment has been processed you will receive a monthly email with a PDF attachment of The Trust List for 12 months.

2.3 Please note that any subscription paid by You is subject to a minimum contractual period of one year and 12 editions of The Trust List.

2.4 Subscription is non transferable

2.5 We reserve the right to refuse any application for subscription for any reason.

3. Acceptance of Sales Terms and Conditions

3.1. The Sales Terms and Conditions comprise the terms on which the purchaser ("you") is permitted to purchase items from newcharities ("us", also referred to as "we" and "our") on this website. If you submit an order for any item advertised for sale on this Website, this shall be taken to constitute acceptance by you of these Terms

3.2 No refunds or exchanges will be given on electronic goods (The Trust List and Top Trusts (referred to as 'publications') unless the supplied file is faulty.

3.3 All publications are supplied as .pdf (Portable Document Format) files. It is the responsibility of the purchaser to obtain a copy of an appropriate software necessary for viewing.

3.4 Please DO NOT make illegal copies of the publications. This is considered a breach of copyright, against which legal action will be taken.

3.5 newcharities and Gryphon Research cannot be held responsible for the loss of downloaded publications after their initial receipt. publications are subsequently stored at the purchaser's risk.

3.6 You will agree to adhere to the terms of Acceptable use as set out in section 7 below.

4. Company information

4.1 The Trust List and Top Trusts is aimed at fundraisers working for charities, in order to subscribe you, must provide your charity registration number and a valid charity email address.

4.2 We will hold your data in accordance with the terms of our privacy policy a copy of which may be requested via email. We will retain details of any information you are asked by us to supply.

5. Cancellation and termination of Subscription

5.1 Your Subscription commences as soon as you receive our welcome email. This means that, subject always to Your right to terminate as set out below, You will not be able to cancel the services after this point.

5.2 Subject to paragraph 4.3 below, You can terminate Your Membership at any time by notifying Us by email.

5.3 Please note that any subscription paid by You is subject to the minimum contractual period of one year. This means that, where You choose to terminate Your Member subscription before the expiry of this period, You will not receive any refund in respect of this minimum contractual period.

5.4 No refunds will be paid by Us where Your Membership is terminated by Us as a consequence of Your breach of these Membership Terms and Conditions.

6. Your warranties

6.1 You warrant that:

6.2 all information and details provided by You to Us are true, accurate and up to date in all respects and at all times

6.3 You will comply with these subscription Terms and Conditions including, without limitation, the restrictions relating to acceptable use set out at section 7 below.

6.4 You agree to indemnify and hold Us harmless from any claim or damages (including any legal fees in relation to same) made by a third party in respect of any matter in relation to or arising from Your use and subscription arising from any breach or suspected breach of these subscription Terms and Conditions by You or Your violation of any law or the rights of any third party.

7. Acceptable Use

We support the free flow of information and ideas over the Internet and we do not monitor any correspondences including applications that you may send to Trusts listed in our publication. We seek to balance our views with our obligations to the Charity Commission and The Central Register of Charities ("The Register"). The Central Register of Charities is subject to Crown database right.

We also therefore require that You do no use any information from the Site or from any Publications (The Trust List or Top Trusts) to:

7.1 contact trusts with any material that would cause annoyance, inconvenience or harassment;

7.2 advertise or promote third party or Your own products or services including by way of the distribution of 'spam' mail;

7.3 distribute illegal, copyright infringing, fraudulent, indecent or offensive material

7.4 transfer files that contain viruses, Trojans or other harmful programs;

We may take any or all of the following action at Our discretion:

7.5 remove any subscriber at Our sole discretion

7.6 inform the appropriate authorities and provide them with information regarding any suspected illegal activity; or bring legal action against a subscriber or other user of the Site in relation to any breach of these Subscription Terms and Conditions or any illegal or suspected illegal activity.

8. Copyright and Other Intellectual Property Rights

8.1 Your use of the Site and services grants no rights to You in relation to copyright, trade marks or other of Our intellectual property rights or the intellectual property rights of third parties.

8.2 You may not, without limitation, copy, republish, download, post, broadcast, record, transmit, communicate to the public, or otherwise reproduce the content included in or provided via The Trust List or Top Trusts publications except for the sole purpose of contacting funders for charitable fundraising. Subject to the above, You may download insubstantial excerpts of The Trust List or Top Trusts content to Your hard disk for the purpose of viewing it provided that no more than one copy of any information is made.

9. Limitation of Liability

9.1 Whilst We will use all reasonable endeavours to correct any errors or omissions as soon as practical, once they have been brought to Our attention, We do not warrant that the Site will be available uninterrupted and in a fully operating condition nor that the information on and provided via The Trust List will be free from errors or omissions.

9.2 Access to this Site and its contents may be suspended temporarily and without notice in the case of system failure, necessary maintenance or repair or for reasons beyond Our control.

9.3 Due to the fact that many technical aspects of the Site, The Trust List and Top Trusts content is provided by or otherwise dependent on third parties, We do not give any warranty as to the accuracy, suitability, reliability, completeness, performance, satisfactory quality, fitness for a particular purpose, or freedom from viruses, or other harmful programs of the content contained in or accessed through this Site, The Trust List and Top Trusts.

9.4 We will not be liable for any damages, including indirect or consequential losses and whether in contract, tort (including negligence) or otherwise, arising in connection with any use by You or other Subscribers of the Site, The Trust List or Top Trusts. This includes any loses that are or are not directly attributable to Our negligence.

9.5 Where We are liable for direct loss this will be limited to a maximum of the total price of the Subscription paid to Us by You in the 6 months prior to the claim.

10. General

10.1 We shall not be liable for any failure for any suspension, or termination of access to the Site, The Trust List or Top Trusts arising out of a force majeure event. A force majeure event shall include, without limitation, failure of infrastructure, government intervention, wars, civil commotion, hijacking, fire, flood, accident, storm, strikes, lockouts, terrorist attacks, or industrial action affecting Us or Our suppliers.

10.2 If any of these Subscription Terms and Conditions are determined to be illegal, invalid or otherwise unenforceable by reason of law then to the extent and within the jurisdiction in which that term is illegal, invalid or unenforceable, it shall be severed and deleted from these terms and the remaining terms shall survive, remain in full force and effect and continue to be binding and enforceable.

10.3 These Subscription Terms and Conditions shall be governed by and interpreted in accordance with the laws of England. Disputes arising in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
